An agreement between YouPri and a customer is established after an order by command YouPri on feasibility is assessed. YouPri reserves the right, without giving any reason not to accept orders or commands or to accept only under the condition that the shipment occurs after digital prepayment.
Images and specifications
All images; photos, drawings, etc.; among other things, data on weights, dimensions, colors, pictures of labels, etc. on the webshop of YouPri apply only approximately, are indicative and cannot give rise to compensation or dissolution of the agreement.
Conditions of delivery and intellectual property
The client shall be required to deliver files ready. The client checks prior to your order carefully the JPG/ZIP/PDF file. YouPri is not liable for improper delivery of files, cannot be held liable for textual errors or errors in the design and/or formatting. The client only pays a fee for the services provided and not for the property rights or for the rights to further multiplication. The copyright can for a fee to the client or to a third party be supplied when the written so agreed. In this case only the rights go to the principal or third when the agreed fee is paid.
Extra work; additional work
The work includes only what between YouPri and customer agree upon. Additional work is that which is not agreed, such as possibly design and layout or, for example, the not ready-to-use delivery of files. Converting files is subject to additional work. By YouPri costs for additional work, which find their cause without any fault on his part, can be charged to the customer. However, the client will receive a price indication in advance. Only when the customer agrees in writing, this will start with the additional work of YouPri.
YouPri is not liable, if and in so far as its obligations cannot be met as a result of force majeure. Force majeure means each strange cause, as well as each circumstance, which in fairness not to come. Delay or default by our suppliers, failures in the production process, internet, electricity, mail traffic and disturbances or changes in technology supplied by third parties, transportation difficulties, strikes, Government measures, delays in the supply, omissions of suppliers and/or manufacturers of YouPri and help people, illness of personnel, flaws in help-or means of transport apply explicitly as force majeure.
In the case of force majeure YouPri reserves the right to suspend its obligations and is also entitled to terminate the contract in whole or in part, or to claim that the content of the agreement is amended that execution remains possible. In no event shall YouPri held any fine or compensation.
If at the time of the commencement of force majeure YouPri part of its obligations have been fulfilled, or only partially she is entitled to her obligations it already delivered or the deliverable part separately billable and is the customer is held to pay this invoice as if it were a separate contract. This shall not apply, however, if the part already delivered or deliverable has no independent value.
Retention of title
Ownership of all goods supplied and sold by YouPri to the customer as long as the customer stays with YouPri the claims of YouPri under the agreement or previous or subsequent similar agreements failed to provide, as long as the customer still performed or to be performed from this or similar agreements has not yet met and as long as the customer the claims of YouPri because of falling short in the performance of such a contract has not yet met, including understood claims in respect of fines, interest and costs.
